Microsoft Licensing Terms

Scope of this document
These terms apply only to VTGO services delivered with the Windows Server operating system or other Microsoft software licensed by subscription. They do not apply to services with open-source operating systems.
1. Origin of the license
The Microsoft software included in VTGO servers is licensed under the service provider licensing program that governs the infrastructure on which Valtriom provides the service. Valtriom acts as the managed service provider and passes on to the Customer the right of use corresponding to the contracted instance.
Consequently, the Customer does not acquire a perpetual license or ownership of the software: it receives a right of use that remains in effect as long as the service remains active and payment is up to date.
2. Nature of the right of use
- The right of use is non-exclusive, non-transferable and revocable.
- It is granted per instance and billed together with the service, in monthly periods.
- It is tied to the contracted server: it cannot be moved to third-party infrastructure or to the Customer's own equipment.
- It ends automatically when the service is canceled, expires or is terminated, with no need for further notice.
3. Manufacturer's terms
In addition to these terms, use of the software is subject to the terms of use the manufacturer establishes for licensing through service providers, including the product use rights and the specific terms of each edition.
In the event of any discrepancy between this document and the manufacturer's terms, the manufacturer's terms prevail.
4. Usage restrictions
The Customer may not:
- Assign, sublicense, lease or resell the software to third parties.
- Reverse engineer, decompile or disassemble the software, except to the extent expressly permitted by law.
- Remove or alter ownership notices or activation mechanisms.
- Use the software outside the instance for which it was licensed.
- Exceed the number of concurrent accesses or users covered by the contracted edition.
5. Customer's own licenses
The Customer may not install its own Microsoft licenses on VTGO servers, unless it has a licensing program that expressly authorizes it for service provider environments and has demonstrated this to Valtriom in writing beforehand.
The installation of unauthorized licenses is the sole responsibility of the Customer and entitles Valtriom to suspend the service in accordance with the General Conditions.
6. Compliance and audit
Subscription licensing is subject to the compliance verifications established by the manufacturer's program. The Customer undertakes to keep its use of the software within what is licensed and to cooperate with any verification that may be required.
If a verification reveals use beyond what is licensed, Valtriom will invoice the corresponding difference for the affected period.
7. Updates and end of support
Security and version updates are governed by the lifecycle published by the manufacturer. When an edition reaches its end of support, Valtriom will inform the Customer and coordinate the migration to a current version.
A Customer who decides to remain on an unsupported edition assumes the risks arising from that decision.
8. Price
The cost of licensing is included in the monthly price of the service, unless the product sheet states otherwise. Changes the manufacturer applies to the licensing program may be passed on to the price, with notice to the Customer at least thirty days in advance.
9. Evolution of this arrangement
Valtriom is in the process of becoming a direct licensed provider with the manufacturer. When that arrangement takes effect, these terms will be updated and the change will be communicated to customers with active Windows services. The transition will not affect the continuity of the service or involve any interruption for the Customer.
